The sections immediately below describe the tax services OSA offers today. They are followed by standing professional notices about the firm itself.

OSA provides tax-strategy design, tax analysis and modeling, implementation coordination, asset protection and tax-planning coordination, and related advisory services. Preparation, optimization, Position Defense, Audit Protection, and tax controversy services are available only as described in the applicable engagement. The agreement identifies the responsible provider, taxpayers, returns, tax years, jurisdictions, services, fees, and material limitations.

Tax consequences depend on complete and accurate facts, eligibility, implementation, documentation, elections, timing, applicable limitations, changes in law, and taxing-authority determinations. No deduction, credit, refund, tax savings, asset protection outcome, or dispute result is guaranteed. Examples and projections illustrate stated assumptions; they do not predict results for a particular client.

OSA coordinates the agreed tax work with the client and authorized professional team. Each professional remains responsible for that professional's separately engaged services. Clients remain responsible for supplying accurate information, completing assigned actions, retaining records, and promptly forwarding tax notices. An OSA tax analysis is not a recommendation concerning the investment merits of a transaction.

Position Defense covers only defined Covered Positions on qualifying OSA-prepared returns. Audit Protection covers the additional notice and examination services expressly identified in its schedule. Protection periods, service limits, exclusions, deadlines for reporting notices, and any additional charges are disclosed before enrollment. These services do not promise payment or reimbursement of taxes, penalties, interest, or investment losses. Administrative Appeals, collection matters, pre-existing disputes, and other excluded matters require separate scope unless an express agreement provides otherwise.

Legal services are separate, require a separate engagement, and are not included in OSA services.

Odyssey Strategic Advisors LLC is not a law firm and is not a certified public accounting firm. It is a Wyoming limited liability company providing tax strategy, implementation coordination, and related advisory services.

Tax return preparation, where included, is performed through the designated preparation provider identified in your proposal and preparation engagement. That document names the professional responsible for preparing and signing the covered returns before you commit to anything.

Representation before the Internal Revenue Service or a state taxing authority is undertaken only by a professional authorized to provide it, only where a service expressly includes it, and only with the authorization that representation requires. Preparation credentials and representation rights are not interchangeable.

Matthew C. McClintock is a principal of Odyssey Strategic Advisors LLC. He separately practices law through McClintock Tax Law LLC, which is a separate and independent law practice.

Engaging OSA, communicating with us, or paying us does not create an attorney-client relationship with McClintock Tax Law LLC or with any attorney. An attorney-client relationship with that firm begins only after it accepts the matter, completes its own conflicts review, and executes its own written engagement.

Legal services, tax opinions, and representation in controversy matters are provided by McClintock Tax Law LLC under that separate engagement, and not by Odyssey Strategic Advisors LLC.

Nothing we provide is a substitute for advice from your own certified public accountant, tax preparer, or attorney regarding your specific facts.

As a condition of how we work, your own tax professional confirms the treatment of any position for your specific circumstances before it is implemented, and prepares and files the related returns unless you have separately engaged the designated preparation provider named in your engagement. We do not proceed on our analysis alone.

Where a tax strategy we discuss could be implemented through an affiliate-sponsored investment, we and our affiliates have a financial interest in your choosing it, which may include sponsor fees, carried interest, and other compensation. That is a material conflict of interest.

You are never required to invest with an affiliate to receive our tax services, and unaffiliated alternatives may exist. Any affiliate offering is made only through its own offering documents to eligible investors. Review it with independent legal, tax, and financial advisors who have no affiliation with us.
